Terms of Service
This is the agreement between you and the company that operates Railit. It covers what you are buying, what it costs, how the subscription renews, how to stop it, and who is responsible for what. It is written to be read.
Who you are contracting with
Railit is operated by JOIN FUTURE SOLUTIONS, LLC, a limited liability company formed and registered in the State of Delaware, United States. In these terms, “we”, “us” and “Railit” mean that company, and “you” means the business or person who opens a Railit account.

JOIN FUTURE SOLUTIONS, LLC is the merchant of record for every Railit subscription, and the name on every invoice we issue.
What Railit is, and is not
Railit is accounting software you subscribe to over the internet. It keeps a double-entry general ledger and the records around it — invoices, quotations, expenses, bills, payments, customers, vendors, employees and payroll, inventory, point of sale and forms — and it renders those records as PDF documents and spreadsheet exports. On the plans that include it, an AI agent reads your ledger, answers questions about it, reads documents you upload, and prepares entries for you to approve.
Nothing the agent prepares is recorded in your books until a person at your company approves it. There is no mode in which Railit posts to your ledger by itself.
Railit is not, and does not provide:
- accounting, audit, legal or tax advice;
- an accountant, a bookkeeper, an auditor or a registered tax agent;
- the filing or submission of any return to any tax authority, in Bahrain or anywhere else;
- a bank, a payment institution, or a money transmitter — Railit records payments, it does not move money;
- a guarantee that your books comply with any particular law or standard.
You remain responsible for your own books, for the accuracy of what you approve, and for your statutory filings. Most customers keep their accountant; Railit is what the accountant reviews.
Your account and your users
To use Railit you create a workspace — one organization, with its own ledger. You may invite colleagues to it and give each of them a role. A person can belong to more than one workspace, with a different role in each.
- You must be at least 18 years old, and authorised to enter this agreement for the business you sign up.
- The information you give us — company name, address, contact email — must be accurate and kept up to date.
- You are responsible for keeping sign-in credentials and API tokens secret, and for everything done under your workspace by anyone you invited. Tell us at once if you think an account has been compromised.
- Your workspace's data is scoped to your organization and is not visible to other customers. Attempting to reach another customer's data is a serious breach — see §12.
Sold to businesses
Railit is sold to businesses — companies, sole traders, partnerships and the people who work for them — for use in a trade or profession. It is not a consumer product and is not intended for personal or household accounts.
Where we cannot sell it
JOIN FUTURE SOLUTIONS, LLC is a United States company and is bound by United States export control and sanctions law. We therefore cannot provide Railit to:
- anyone located in, ordinarily resident in, or organised under the laws of a country or territory subject to comprehensive United States sanctions;
- anyone named on a United States restricted-party list — including the Specially Designated Nationals and Blocked Persons list maintained by the US Treasury's Office of Foreign Assets Control (OFAC) — or any business owned or controlled by such a person;
- anyone who would use it for a purpose prohibited by United States export control law.
By opening an account you confirm none of that applies to you. If we are legally required to close an account on these grounds we will, and we will refund any period paid for but not used, where the law permits us to send the money.
The free trial
Every new workspace starts on a free trial. These are its full terms:
- Length: 30 days from the day the workspace is created.
- What you get: every capability of the highest tier, and as many users as you want to invite. Nothing is switched off during the trial.
- The one limit: 15,000 AI credits for the whole trial. That is the only ceiling; everything else is unrestricted. Roughly, 15,000 credits is about 300 questions to the agent, or about 250 documents read and entered.
- No card is taken. We do not ask for card details to start a trial, we do not place a hold on a card, and nothing can be charged during the trial because we have no payment method on file.
- It does not convert to a paid plan. The trial does not roll into a subscription, automatically or otherwise. It simply ends.
- At the end: the workspace becomes read-only. You can still sign in, read everything you entered, and export it. You cannot create or post anything new until you choose a plan. Nothing is deleted when the trial ends.
- If you subscribe: you pick a plan and a billing interval yourself, and only then does a subscription and a charge exist. At the end of a trial we typically offer 50% off the first month on the plan your actual usage points at; that offer applies to monthly billing only.
- One trial per organization. Creating a second workspace to obtain a second trial for the same business is not permitted.
Plans, limits and prices
There are three plans. The line between them is the AI: Starter is the ledger without the agents we pay for; Pro and Business include a monthly AI budget.
Every price below is stated with its currency code. Subscriptions are charged in USD. The BHD figures are shown because the Bahraini dinar is pegged at BHD 0.376 to USD 1.00, so the conversion is fixed rather than a live rate — but the amount that reaches your card is the USD amount, and your bank may apply its own conversion and fees on top.

What “not included” means on Starter
Starter deliberately carries zero AI credits. The in-app agent, the WhatsApp assistant and any other feature that spends credits are not part of Starter and cannot be bought as an add-on on it. Starter does include the MCP server, so you can point your own Claude or ChatGPT subscription at your ledger and pay that provider directly instead of us.
Seats
Each plan includes the users shown above. Every user past that number costs the plan's per-user price. Users with a view-only role are free and are never counted. Adding a user part-way through a period is charged pro rata for the remainder of that period. If you buy more seats than you fill, you are billed for the seats you bought.
Add-ons
Add-ons renew with the subscription, on the same interval, and are charged pro rata when switched on mid-period.

- WhatsApp assistant — USD 11.00 · BHD 4.000 per month. Buys the WhatsApp number and an allowance of 1,000 WhatsApp messages a month. It does not come with its own AI credits: a WhatsApp conversation spends from your plan's single AI allowance, so there is one meter and not two. Pro and Business only.
One-off AI credit packs
If the monthly allowance runs out before the month does, you can buy a pack. A pack is a single payment, not a subscription, and it does not renew. Credits bought this way never expire.

How the monthly allowance behaves
A plan's AI credits are granted for each calendar month and are not carried over — unused credits from one month do not accumulate into the next. Credits from a one-off pack are separate and do not expire. When you run out, the rest of Railit keeps working exactly as before; only the AI agent pauses until the month rolls over, you buy a pack, or you raise the monthly tier. Nothing is lost and nothing is deleted.
Not included on any plan
- Accounting, audit or tax services of any kind, and any statutory filing.
- Data migration performed by us, custom development, on-site training or a dedicated account manager. If you want any of those, ask us and we will quote separately.
- Hosting your data inside Bahrain — see §14.
- Any uptime or response-time guarantee — see §17.
The prices on this page are the list prices at the date at the top. The authoritative, live figures are the ones shown on the pricing section of the homepage and in the checkout, which read from the same price list the card is charged from. If the two ever disagree, checkout is what governs, and we will correct this page.
Billing and automatic renewal
Your subscription renews automatically, and keeps renewing until you cancel it. At the end of every billing period we charge the payment method on file for the next period, without asking you again. A monthly subscription renews every month; a yearly subscription renews every year.
You can cancel at any time, in about three clicks, and there is no cancellation fee. §9 explains exactly how.
This is disclosed before you buy: the amount, the currency, how often it repeats and the fact that it repeats until you cancel are all on the checkout page, above the card fields, before any payment details are entered.
- When you are charged. The first charge happens when you subscribe. After that, on the same day each month (or the same date each year) until you cancel. If a month has no matching day, the charge falls on the last day of that month.
- What you are charged. The plan price, plus each user over the included number, plus any active add-ons, for the period ahead. Usage-based items already consumed — extra AI credit packs, for example — are charged when you buy them.
- Currency. Subscriptions are charged in USD by our payment processor, Stripe. Dinar figures are the pegged equivalent and are shown for reference only.
- Taxes. Prices are exclusive of any sales tax, VAT or similar charge that may be due. Where we are required to collect such a tax, it is added at checkout and shown before you pay.
- Invoices. Every charge produces an invoice, available from the billing page in your workspace and emailed to the billing contact.
- The first-month offer. The reduced first-month price is a fixed amount off the first invoice, available on monthly billing only. It is not applied to yearly billing, which is already discounted to ten months for twelve. It applies once, to your first paid month.
- Changing plan. You can move between plans at any time, and the change takes effect immediately. It is prorated either way: moving up, you are charged the difference for the part of the current period that remains; moving down, the unused part of what you already paid is credited against your next invoice. Your next renewal is then at the new plan's price.
How card details are handled
Card details are entered on payment fields hosted by Stripe, and never touch our servers. We do not see, and do not store, your full card number, expiry date or security code. We store only what Stripe returns to us: a customer reference, a card brand and its last four digits, so that the billing page can show you which card is on file.
Checkout, the payment form and the billing portal where you update a card are all operated by Stripe. Stripe is certified as a PCI DSS Level 1 service provider. We are not, and we make no PCI, SOC 2 or ISO certification claim of our own — see §15.
Price changes
We may change our prices. If a change affects a subscription you already hold, we will email the billing contact on the account at least 30 days before it takes effect, and the new price will apply from your next renewal — never in the middle of a period you have already paid for.
If you do not want to pay the new price, cancel before the renewal date and you will never be charged it. Continuing past that date is acceptance of the new price. Prices on a fixed-term yearly subscription do not change during that year.
Cancelling
You can cancel at any time. There is no minimum term, no notice period, no cancellation fee, and no phone call to sit through.
How
Either of these works, and both are equally valid:
- Sign in at railit.ai/app, open Billing, and choose Manage billing. That opens Stripe's billing portal, where Cancel plan ends the subscription. Only a workspace Owner can do this.
- Email [email protected] from an address on the account and ask us to cancel. We will cancel it and confirm in writing. We will not ask you to justify it or route you to a retention call.
What happens for the rest of the paid period
Cancellation takes effect at the end of the period you have already paid for. Nothing is cut off on the day you cancel: you keep the plan in full — every feature, every user, the remaining AI credits for that month — until the period you paid for runs out. We do not refund the unused remainder of a period as a matter of course, except as set out in §10. You can undo a cancellation at any point before the period ends.
What happens to your data
- Cancelling does not delete anything. Your ledger, documents and files stay as they are.
- When the paid period ends, the workspace becomes read-only. You can still sign in, read every record, run reports, and export the whole ledger as spreadsheets and PDFs. You cannot create or post new records.
- We keep a cancelled workspace readable and exportable for at least 90 days after the paid period ends, so nobody loses their books because they forgot to export in the first week.
- Subscribing again at any point restores write access to the same workspace, with the history intact.
- You can ask us to delete the workspace permanently at any time, by emailing [email protected]. We complete a deletion request within 30 days, apart from records we are required to keep — payment and tax records, for example. Deletion is irreversible; export first.

Refunds
We refund any subscription charge in full if you ask within 14 days of that charge. That applies to a first payment and to a renewal alike. Email [email protected] and say which charge; we do not require a reason.
- Approved refunds are returned to the card that was charged, through Stripe. We issue them within 5 business days of approving the request; how long the money takes to appear is then up to your bank, usually 5 to 10 business days.
- A refund ends the subscription at once — you cannot both be refunded for a period and keep using it.
- One-off AI credit packs are refundable within 14 days only to the extent the credits are unspent. Credits already consumed have been paid to the AI provider on your behalf and cannot be returned.
- Outside the 14-day window we do not refund an unused remainder as a rule — but if something went materially wrong on our side, tell us. We would rather fix it than argue about USD 32.00.
- If we terminate your subscription for our own convenience under §20, we refund the unused part of the period pro rata, with no time limit.

Late payment and suspension
If a renewal payment fails — an expired card, insufficient funds, a bank decline — nothing dramatic happens immediately.
- Stripe retries the payment over the following days, and we email the billing contact so the card can be updated.
- Your workspace keeps full write access for 12 days after the payment fails while that is happening. You can work normally, and we write to you before anything changes.
- If it is still unpaid after those 12 days, the workspace goes read-only: you can sign in, read everything and export it, but not create or post. This is a suspension of writing, not a lock-out.
- We do not delete data because of non-payment. Paying the outstanding invoice restores write access immediately, with nothing lost.
- We may suspend a workspace immediately, without the grace period, for a serious breach of §12, or where we are required to by law.
Acceptable use
Do not use Railit to:
- break any law that applies to you, or to keep records in furtherance of fraud, money laundering, sanctions evasion or tax evasion;
- upload malware, or content you have no right to upload;
- attempt to reach another customer's workspace, or to defeat the isolation between organizations, by any means;
- probe, scan or test the security of the service, or circumvent rate limits, authentication or entitlement checks;
- attempt to make the AI agent act on instructions hidden inside an uploaded file, an email or a message — including against your own workspace;
- resell, sublicense or white-label Railit, or run it as a service for third parties, without a written agreement with us;
- use the AI features to resell inference, to benchmark a competing product, or to train or fine-tune a model;
- send unsolicited bulk messages through the email or WhatsApp features;
- copy, decompile or reverse engineer the software, except where law expressly permits it;
- impose a load that degrades the service for other customers.
We may suspend a workspace immediately for a serious or repeated breach. Where it is safe and lawful to do so, we will tell you what happened and give you a chance to put it right first.
Your data, and who owns it
Your ledger is yours. Every record you or your users put into Railit — the chart of accounts, journals, invoices, expenses, payroll, customers, vendors, employees, uploaded files — remains your property. We claim no ownership of it and acquire no licence to it beyond what is needed to run the service for you and to keep backups.
We do not sell your data, we do not share it for advertising, and we do not use it to train AI models. Data sent to our AI provider is sent through its API for the sole purpose of answering the request you made, and on terms that do not permit it to be used for training.
Export and portability
You can take your books out at any time, without asking us and without a fee:
- every document — invoice, quotation, bill, payslip, statement — renders as a PDF you can download, and a complete copy of your data in a machine-readable form is provided on request within 30 days;
- every document — invoice, quotation, payslip, statement, report — renders as a PDF you keep;
- an API and an MCP server give programmatic access to the same records on every plan, so you can pull the whole ledger into your own system.
Export stays available while a cancelled workspace is read-only, for the retention window in §9. If you ever need a bulk extract we have not built a button for, email us and we will produce one.
We own the software itself, the Railit name and mark, and anything we build. Nothing in these terms transfers that to you; you get the right to use the service while you are subscribed.
Where your data lives
Railit runs on Amazon Web Services in the Europe (Frankfurt) region, eu-central-1. Your ledger data is stored and processed there — in Germany, in the European Union.
If you are asking whether your data is held in Bahrain: no, it is not. It is in Germany. If in-country residency is a requirement for your business or your regulator, tell us before you subscribe rather than after.
Two data-protection regimes are engaged, and we work to both. The EU General Data Protection Regulation (GDPR) applies because the processing happens in the EU. Bahrain's Personal Data Protection Law (Law No. 30 of 2018, the PDPL) is engaged because most of our customers, and the individuals in their records, are in Bahrain — which also means personal data leaves Bahrain to be processed. By subscribing you instruct us to process your data in the EU on your behalf.
For the personal data inside your workspace — your customers, your employees — you are the controller and we are the processor. For your own account data we are the controller. We engage the following sub-processors:
- Amazon Web Services — hosting, database and file storage (Frankfurt, eu-central-1).
- Stripe — payment processing and the billing portal.
- OpenAI — the AI agent. Answering a question or reading a document means the relevant part of your ledger or file is sent to OpenAI's API to produce the answer. This is inherent to how the agent works. If that is not acceptable for your business, use the Starter plan, which has no AI.
The Privacy Policy sets out what each sub-processor receives, the legal bases, retention, and your rights under both GDPR and the PDPL.
Security
- In transit: everything is served over HTTPS with TLS. There is no unencrypted path into the service.
- At rest: databases, file storage and backups are encrypted at rest using the managed encryption of our hosting provider.
- Passwords are stored only as salted hashes. We cannot read yours, and neither can our staff.
- Tenant isolation is enforced in the data layer rather than left to each query: every business record carries the organization that owns it, and the scope is applied automatically and fails closed. A query that cannot prove which organization it belongs to does not run.
- Card data never reaches our servers — see §7.
- Access to production systems is limited to the people who need it to operate the service.
We hold no security certifications, and we will not claim any. Railit is not SOC 2 audited, not ISO 27001 certified, and not PCI DSS certified. The PCI DSS Level 1 certification that covers your card details belongs to Stripe, which handles them — not to us. If a certification is a procurement requirement for you, we do not currently meet it, and we would rather you knew that now.
If you believe you have found a vulnerability, email [email protected] with the detail. We will not pursue anyone who reports a genuine issue in good faith and does not access or destroy other people's data.
The AI agent
On the plans that include it, the agent reads your ledger, answers questions, reads documents you give it, and prepares entries. These are its limits, and they are part of the agreement:
- It cannot post to your books. Everything it prepares waits behind an explicit approval by a person at your company.
- It can be wrong. Large language models make mistakes, including confident ones. You are responsible for reading what the agent proposes before you approve it, exactly as you would read a junior bookkeeper's work.
- Its output is not advice. It is not accounting, tax or legal advice, and it does not sign, certify or audit anything.
- It is designed to refuse hidden instructions inside uploaded files and messages, but no such defence is perfect. Treat documents from strangers with the same suspicion you would apply yourself.
- Credits are the unit the AI is metered in. Consumption depends on the length and complexity of what you ask, so the same allowance buys different amounts for different companies. The figures we publish — about 600 questions or 500 documents for 20,000 credits — are estimates for guidance, not a guaranteed quantity.
Availability and support
We aim to keep Railit available continuously, and to give notice of planned maintenance where it will be noticeable. We do not offer a contractual uptime guarantee or service credits on these plans, and we will not pretend otherwise.
Support is included on every plan, in English and Arabic, by email at [email protected] and through the form on our contact page. Business is listed as including priority support, meaning your requests are answered ahead of other tiers.
Changes to the service and to these terms
We improve Railit continuously, and features change. We will not remove or materially degrade a feature you are paying for in the middle of a period you have paid for, without telling you first and offering you a way out.
We may change these terms. When we do, we update the “last updated” date at the top and publish the new version at this address. If a change materially affects your rights or obligations, we will email the account contact at least 30 days before it takes effect. Continuing to use Railit after that date is acceptance. If you would rather not accept, cancel before the change takes effect — see §9 — and, if you cancel for that reason, we will refund the unused part of the period you have paid for.
Warranties and liability
Railit is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that the output of the AI agent will be accurate or complete.
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost goodwill, or regulatory penalties — including any arising from figures produced by the AI agent, or from a decision taken in reliance on them.
Our total aggregate liability to you for all claims arising out of or relating to these terms or the service is limited to the total amount you actually paid us for the service in the 12 months immediately before the event giving rise to the claim.
Data loss is covered by our backups, not by a monetary remedy: our obligation, and the limit of our liability, is to restore your data from the most recent available backup. This is one of the reasons the export in §13 exists and is free.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded — including for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, gross negligence or wilful misconduct, or any right you have under mandatory consumer protection law in your own country.
You will indemnify us against third-party claims arising from your use of Railit in breach of §12, or from data you put into it that you had no right to.
Termination by us
- For convenience: we may end your subscription on 30 days' written notice to the account contact. If we do, we refund the unused part of any period you have paid for, pro rata, and you keep export access for at least 30 days after the end date.
- For cause: we may suspend or terminate immediately for a serious breach of §12, for non-payment after the grace period in §11, or where the law requires it.
- Terminating does not entitle us to keep your data from you. Except where the law forbids it, we will give you a reasonable opportunity to export before deletion.
- Sections that by their nature should survive — data ownership, liability, governing law — survive termination.
Governing law and disputes
These terms, and any dispute arising out of them or out of your use of Railit, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in the State of Delaware have exclusive jurisdiction, and both parties submit to it.
This choice of law does not deprive you of the protection of any mandatory consumer law of the country where you live, and does not displace any data-protection right you have under the GDPR or Bahrain's PDPL.
Before filing anything, please email [email protected]. Almost every dispute we have seen in this business was a billing misunderstanding that took one message to resolve.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
General
- Entire agreement. These terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the whole agreement between us about Railit, and replace anything said before.
- Severability. If any part is held unenforceable, the rest stands.
- No waiver. Not enforcing something once does not waive it.
- Assignment. You may not assign this agreement without our written consent. We may assign it to an affiliate or to a successor in a merger or sale of the business, on notice to you.
- Notices. Ours to you go to the email address on the account. Yours to us go to [email protected], or to the registered address in §1.
- Force majeure. Neither party is liable for a failure caused by something genuinely outside its control.
- Language. These terms are written in English, and the English text governs.
